Terms and Conditions for Turtle Pinch Bookkeeping

1. Scope of Services
Turtle Pinch Bookkeeping ("the Bookkeeper") provides bookkeeping, QuickBooks setup, and cleanup services as agreed upon in the individual Service Proposal. Any work requested outside of the initial agreed scope will be considered "Additional Services" and may be subject to a separate fee or an increased hourly rate.
2. Client Responsibilities
The Client is responsible for the following:
Providing all necessary access to financial accounts (QuickBooks Online, Amazon Seller Central, Shopify, etc.) in a timely manner.
Ensuring the accuracy and completeness of all data, records, and information provided to the Bookkeeper.
Reviewing all financial reports and notifying the Bookkeeper of any discrepancies within fifteen (15) days.
3. Independent Contractor Status
The Bookkeeper is an independent contractor and not an employee of the Client. The Bookkeeper is responsible for their own taxes, insurance, and professional certifications.
4. Fees and Payment
Payment Terms: Invoices are sent [Monthly] and are due upon receipt unless otherwise specified.
Late Fees: Payments not received within [15] days of the invoice date may incur a late fee of [15% ] per month.
Retainers: Cleanup projects may require an upfront deposit or retainer before work commences.
5. Limitation of Liability
The Bookkeeper performs services based on information provided by the Client. The Bookkeeper is not responsible for any errors, fines, or penalties resulting from inaccurate or incomplete data provided by the Client.
To the maximum extent permitted by law, the Bookkeeper’s total liability for any claim arising from these services shall not exceed the total amount of fees paid by the Client to the Bookkeeper in the three (3) months preceding the claim.
6. Confidentiality
The Bookkeeper agrees to hold all Client financial data and business information in strict confidence and will not disclose such information to third parties without express written consent, except as required by law.
7. Termination
Either party may terminate the service agreement with [30] days' written notice. Upon termination, the Client shall pay for all services rendered up to the termination date. The Bookkeeper will provide a final "handoff" of records provided that all outstanding invoices are paid in full.
8. Governing Law
These Terms and Conditions are governed by the laws of the State of New Hampshire.
